Job Description

As a result of consistent organic growth, this niche AIM listed bank is seeking a qualified ICSA or lawyer to provide a full service secretariat function to the company’s main Board and committees.

This is a new role that offers substantial scope to develop the governance capabilities of the bank and will suit someone who has worked in financial services or a banking environment. This role will be responsible for ensuring the bank complies with standard financial and legal practice and maintains high standards of corporate governance, acting as a focal point of contact between the Board of Directors, the Company’s shareholders and its Executive Management.

Core responsibilities are wide ranging and will encompass:

  • All aspects of the bank’s corporate governance and administration
  • Ensuring compliance with AIM, statutory and regulatory requirements
  • Organising and preparing agendas and papers for board meetings, committees and annual general meetings
  • Taking minutes, drafting resolutions, lodging required forms and assisting with the filing of annual returns to Companies House
  • Overseeing and updating policies, referred to the appropriate committee for approval
  • Following up on actions from meetings
  • Assisting with the ongoing implementation and maintenance of the Senior Managers Regime
  • Maintaining statutory books, including register of members, directors and secretaries
  • Maintaining the register of shareholders and monitoring changes in share ownership of the company including executive and employee equity/option incentive plans
  • Facilitating the flow of information from the business to the Board and its committees
  • Training directors and members on corporate governance matters
  • Assisting the Board and external advisors with the Board Evaluation process
  • Overseeing and renewing insurance cover for employees, equipment and premises
  • Preparation of risk reports
  • Ad hoc project work and other reasonable duties as instructed by the Directors
The ideal candidate will have gained significant experience in providing company secretariat support to main Board and associated committees and developing robust governance practices in a financial services or banking environment. Possessing a sound understanding of UK company law and UK corporate governance including AIM listing rules and the UK Corporate Governance Code 2018, you will have a deep understanding of the various business, economic and regulatory factors that impact on the development and functioning of corporate governance. You will be a self-starter who is ICSA or legally qualified, with experience in governance leadership and able to work effectively at senior management level with excellent minute taking, report writing and communication skills.
