Senior Legal Counsel – M&A

The role holder will assist the Head of Department in managing legal risk related to commercial and technology activities across all geographies where the organization operates. The role requires the ability to work autonomously while seeking guidance on complex and high-risk matters from the Head of Department. You will also provide legal advice and support for transformation projects related to commercial contracting, use of data, and relevant banking regulations as well as managing outside legal counsel in the context of corporate M&A practice.

Key Accountabilities:

• Provide legal advice and support to the business, ensuring compliance with applicable laws, rules and regulations
• Collaborate with the Head of Legal to establish, implement and disseminate legal policies
• Supervise and manage litigation and disputes
• Draft, review and negotiate contracts and legal documents
• Stay updated on new legislation and regulatory developments and advise senior business persons accordingly
• Liaise with external law firms and relevant authorities to resolve legal matters
• Define goals and KPIs for direct reports and manage performance
• Provide legal advice and support for corporate acquisitions, divestments, joint-ventures and similar transactions
• Manage outside legal counsel in the context of transactions and projects
• Work within organizational and governance frameworks and make decisions according to the approved authorization matrix

Qualifications & Experience:

• Bachelor’s degree in law and Master’s degree in law from an internationally recognized university
• Qualified as a lawyer in the UK, USA, Australia or another Commonwealth or Western European jurisdiction is preferred
• Minimum of 7 years’ experience in a reputed bank or law firm, with at least 2 years in a similar role with experience in commercial transactions
• Additional experience with corporate M&A is preferred
• Excellent English language skills, with the ability to read, write and communicate in Arabic being beneficial
• Experience with HR related matters is beneficial but not mandatory
